This website, maralifesciences.co.ke (the "Website"), is owned and operated by Mara Lifesciences Limited ("Mara Life Sciences", "we", "us", or "our"), a private limited company incorporated in the Republic of Kenya under company number PVT-EYUBR5RA, with its registered office at Kamirithu, Limuru, Kenya.

We supply biological crop protection products—including biopesticides, botanical formulations, and biostimulants—as well as vegetable seeds, pheromone lures and traps, and other agricultural inputs to commercial growers in Kenya. Certain products are developed or registered directly by Mara Life Sciences; others are manufactured by third parties and supplied by us as an authorised distributor or reseller.

1.2 Purpose of These Terms

These Terms and Conditions (the "Terms") set out the rules for accessing and using the Website and its content. They establish allowable uses, details regarding intellectual property, and limitations of our liability.

These Terms apply exclusively to the Website. Any purchase of our products is governed by a separate quotation, supply agreement, or our Terms of Sale, which take precedence over these Terms in respect of any commercial transaction.

 

1.3 Acceptance of These Terms

By accessing, browsing, or using the Website, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which forms an integral part of these Terms. If you do not agree, you must cease using the Website immediately.

If you use the Website on behalf of a corporate entity, farm, or other organization, you confirm that you possess the authority to bind that organization to these Terms. In such instances, "you" refers to that organization.

2. Use of the Website

2.1 Eligibility

The Website is intended solely for individuals aged 18 years or older, as well as agricultural businesses and professionals, including growers, farm managers, agronomists, and distributors. By using the Website, you warrant that you are at least 18 years of age. The Website is not directed at children, and we do not knowingly collect personal data from anyone under the age of 18.

 

2.2 Your Responsibilities

When using the Website, you agree to:

1. Use it exclusively for lawful purposes in accordance with these Terms and applicable Kenyan laws.

2. Provide accurate, current, and complete information in any enquiry, contact, or registration form.

3. Maintain the confidentiality of any login credentials issued to you, notifying us immediately of any suspected unauthorized access.

4. Respect the legal rights of Mara Life Sciences and third parties.

 

2.3 Prohibited Uses

You must not:

1. Copy, reproduce, frame, mirror, republish, sell, or commercially exploit any part of the Website without our prior written consent, except as permitted under Section 3.

2. Deploy automated systems (including bots, scrapers, crawlers, or data-mining software) to extract data or content from the Website.

3. Attempt to gain unauthorized access to the Website, its servers, or connected infrastructure, or otherwise compromise its security or operational performance.

4. Upload or transmit viruses, malware, or other malicious code.

5. Use the Website to disseminate unsolicited commercial communications (spam).

6. Transmit content that is false, misleading, defamatory, obscene, threatening, discriminatory, or infringing upon third-party rights.

7. Impersonate Mara Life Sciences, our personnel, or any third party, or misrepresent your affiliation with us.

8. Use our technical or product information to make false claims or market counterfeit, unregistered, or improperly relabeled products.

9. Commit any act that breaches the Computer Misuse and Cybercrimes Act (2018), the Kenya Information and Communications Act, or any other governing statute.

 

2.4 Suspension of Access

We reserve the right to suspend, restrict, or terminate access to all or part of the Website without notice for maintenance, security operations, or where we reasonably suspect a breach of these Terms. Unlawful activity may be reported to relevant law enforcement authorities.

3. Intellectual Property Rights

3.1 Ownership

All content on the Website is owned by or licensed to Mara Life Sciences. This includes text, product trade names, trademarks, logos, graphics, photographs, video material, product labels, technical data sheets, field trial results, designs, software, and structural arrangement thereof. This content is protected under the Copyright Act (2001), the Trademarks Act (Cap. 506), the Industrial Property Act (2001), and applicable to international treaties.

Product names, variety designations, brands, and logos displayed on the Website belong either to Mara Life Sciences or to third-party manufacturers, plant breeders, and licensors whose inputs we distribute. Plant varieties may also be protected by plant breeders' rights under the Seeds and Plant Varieties Act (Cap. 326). Displaying a third-party trademark does not imply ownership by Mara Life Sciences. Nothing on the Website grants, by implication or otherwise, any license or right to use any trademark, variety of name, or protected material without the express written permission of its owner.

 

3.2 Permitted Uses

You may view the Website and print or download a reasonable number of pages, product labels, safety data sheets, and technical documents solely for your personal or internal business operations (for example, to assist in planning crop protection schedules). Any copy must retain all original copyright and trademark notices and remain unedited.

 

3.3 Restricted Uses

You may not otherwise reproduce, distribute, modify, translate, publicly display, prepare derivative works from, or commercially exploit any Website content. Specifically, you may not use our logos, product names, labels, or trial data in external commercial advertising, packaging, or promotional materials without prior written authorization.

3.4 User Content

The Website does not host public discussion forums. If you submit comments, feedback, photographs, field observations, or other material ("User Content") through our channels, you:

1. Warrant that you own or hold the necessary rights to share the material, and that it is accurate and lawful.

2. Grant Mara Life Sciences is a non-exclusive, royalty-free, worldwide license to use, reproduce, and adapt the material for our operational purposes, including product optimization and technical support.

3. Acknowledge that we will not publish content disclosing your identity, farm name, or commercial details without prior consent.

We reserve the right to remove or decline any User Content at our discretion. Unsolicited commercial ideas or technical proposals are received without confidentiality obligations or payment commitments.

4. Product Information and Responsible Use

4.1 Informational Purpose

The Website provides general information regarding Mara Life Sciences and our product portfolio. Content on the Website does not constitute a legal offer to sell, commercial solicitation, a binding quotation, or a contract. We supply inputs exclusively to commercial growers and enterprise customers under formal written quotations or supply agreements, where pricing, pack configurations, and delivery schedules are formally established.

 

4.2 Accuracy and Currency

We make reasonable efforts to maintain the accuracy and currency of our technical publications. However, regulatory registrations, approved crop usages, target pest spectrums, application rates, pre-harvest intervals (PHIs), and label specifications are subject to administrative updates. Content may also be summarized for publication. Consequently, we do not warrant that Website content is comprehensive, accurate, or current at all times.

The official product label and the Safety Data Sheet (SDS) supplied with the physical product override all information displayed on the Website. In the event of a conflict, the physical label governs.

 

4.3 Regulatory Status in Kenya

All inputs supplied by Mara Life Sciences comply with applicable Kenyan statutory frameworks:

• Crop Protection Products: Biopesticides, botanical extracts, and pheromone lures are registered, or subject to pending application, with the Pest Control Products Board (PCPB) under the Pest Control Products Act (Cap. 346).

• Vegetable Seeds: Seed varieties are supplied only where officially released or registered, and as certified seed inspected by the Kenya Plant Health Inspectorate Service (KEPHIS) under the Seeds and Plant Varieties Act (Cap. 326).

• Fertilizers and Biostimulants: Soil amendments and plant growth regulators are distributed in compliance with the Fertilizers and Animal Foodstuffs Act (Cap. 345), relevant Kenya Bureau of Standards (KEBS) specifications, and auxiliary statutory requirements.

Products designated as "under development", "in trials", or "coming soon" are not approved for commercial sale or use in Kenya and must not be treated as application recommendations. Products and variety registrations shown may not be valid in jurisdictions outside Kenya.

 

4.4 Third-Party Formulations and Seeds

Where we distribute inputs manufactured or bred by third parties, the respective manufacturer or breeder remains responsible for product formulation, production standards, quality assurance, labelling, and statutory registration data. Information presented on the Website regarding third-party products is derived from data supplied by those entities. While we exercise due care in presenting this data, we do not independently verify every technical parameter.

Any commercial warranty for a third-party input is provided directly by its manufacturer and passed through to the purchaser only to the extent stipulated in our formal quotation, supply agreement, or Terms of Sale.

Regarding seed inputs specifically:

1. Germination and purity percentages stated on packaging reflect laboratory testing at the date of analysis; quality may diminish over time depending on post-delivery storage conditions.

2. Variety descriptions—including yield potential, maturity days, fruit traits, and disease resistance profiles—represent indicative trial results and do not guarantee identical field performance.

3. Stated resistance or tolerance to a plant pathogen reduces, but does not eliminate, the risk of disease expression, particularly where novel physiological strains emerge.

4. Final crop performance depends on ambient climatic conditions, soil chemistry, water quality, agronomic management, and pest pressure beyond our control.

 

4.5 Safe and Responsible Application

Biological products, lures, seeds, and auxiliary inputs must be handled in accordance with strict stewardship standards. When applying any product supplied by us, you must:

1. Read and adhere to the approved physical label and SDS prior to every application.

2. Apply the product strictly to approved target crops, against specified pests, and within designated application rates and PHIs.

3. Wear the full personal protective equipment (PPE) mandated by the product label.

4. Store products in their original containers within secure facilities, away from food, animal feed, children, and unauthorized personnel, strictly observing specified temperature parameters (certain biological agents require cold-chain storage and have finite shelf lives).

5. Observe mandatory re-entry intervals (REIs) and pre-harvest intervals (PHIs).

6. Take measures to protect non-target organisms, pollinators, natural enemies, and aquatic ecosystems.

7. Dispose of empty containers and chemical waste in accordance with PCPB guidelines and local county environmental legislation.

8. Comply with all applicable statutory rules, including the Pest Control Products Act, the Environmental Management and Co-ordination Act (1999), the Occupational Safety and Health Act (2007), and relevant Maximum Residue Limits (MRLs) or market certification standards.

Seed treated with crop protection chemicals (typically color-coded) must never be consumed, fed to livestock, or processed for human or animal consumption. Pheromone lures should be handled using clean tools or gloves to prevent cross-contamination and deployed in accordance with technical protocols.

 

4.6 Technical Advice Disclaimer

General agronomic or technical information published on the Website does not replace customized advice tailored to specific field conditions, soil profiles, localized weather patterns, or pest populations. Consult our technical support personnel or a qualified agronomist prior to executing pest control or crop nutrition programs.

 

4.7 Sustainability Policy

Mara Life Sciences promotes sustainable agricultural practices designed to reduce chemical residues, support integrated pest management (IPM) protocols, protect field workers, conserve biodiversity, and assist commercial growers in satisfying local and export market standards.

 

4.8 Adverse Event Reporting

If you observe an unexpected adverse outcome affecting human health, livestock, crops, or the environment following the application of a product supplied by us—or suspect a seed quality failure—cease application immediately and notify us via production@maralifesciences.co.ke or +254 794 654 701. Retain all original packaging, lot codes, and batch numbers to facilitate joint investigation with the primary manufacturer.

In medical emergencies, seek immediate clinical attention with the physical product label present. Statutory reports may also be lodged with the PCPB or KEPHIS as appropriate.

5. Privacy and Data Protection

5.1 Privacy Policy Incorporation

We process personal data in compliance with the Data Protection Act (2019) and its subsidiary Regulations. Mara Life Sciences is registered with the Office of the Data Protection Commissioner (ODPC) as a data controller under registration number INST-2809629C54B. Complete details regarding data handling are set out in our Privacy Policy, which is incorporated into these Terms by reference.

 

5.2 Scope of Data Collection

We may collect:

1. Information provided directly: Name, business or farm entity, job title, contact phone number, email address, physical location, crop portfolio, and the content of technical enquiries.

2. Automated technical data: IP address, browser type, operating system, and site navigation patterns captured via operational cookies.

This data is processed to answer technical enquiries, deliver agronomic support, issue formal quotations, manage enterprise relationships, optimize site infrastructure, satisfy statutory obligations (including PCPB stewardship reporting), and, where authorized, communicate corporate news and product developments.

Personal data is not sold to third parties. We share data only with operational service providers acting on our behalf, manufacturing partners where necessary for product investigations, professional advisers, or regulatory bodies where mandated by law.

 

5.3 Data Security and Retention

We maintain administrative, technical, and physical safeguards designed to protect personal data against accidental loss, unauthorized disclosure, or destruction. Any cross-border transfer of data complies strictly with the safeguards mandated by the Data Protection Act (2019). Personal data is retained only for the duration necessary to fulfill the operational or legal purposes for which it was collected.

2. Reliance placed upon general information published on the Website in lieu of physical product labels, SDS documentation, or direct professional agronomic advice;

3. Use or storage of any product contrary to label directions or applicable safety regulations;

4. Technical interruptions, server downtime, or transmission errors;

5. System damage caused by malicious software acquired via the Website;

6. Content published on linked third-party websites.

This limitation applies to loss of crops, yield reductions, financial losses, lost revenue, commercial disruption, or lost operational data, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, even if advised of the possibility of such loss.

 

6.3 Mandatory Statutory Rights

Nothing in these Terms excludes or limits our liability for death or personal injury resulting directly from our negligence, fraudulent misrepresentation, or any other liability that cannot be lawfully excluded under Kenyan legislation, including applicable provisions of the Consumer Protection Act (2012).

 

6.4 Indemnification

You agree to defend, indemnify, and hold harmless Mara Life Sciences from and against any claims, liabilities, losses, damages, costs, or legal fees arising from your breach of these Terms, misuse of the Website, or violation of third-party intellectual property or statutory rights.

9. Governing Law and Dispute Resolution

9.1 Applicable Law

These Terms, their subject matter, and any non-contractual disputes arising out of or in connection with them or the Website are governed exclusively by the laws of the Republic of Kenya.

 

9.2 Amicable Resolution

In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith commercial negotiations within 30 days of written notification of the dispute.

 

9.3 Mediation

Failing amicable resolution through negotiation, either party may submit the dispute to confidential mediation in Nairobi under the administration of the Nairobi Centre for International Arbitration (NCIA) or another mutually agreed mediation body. The costs of mediation shall be shared equally between the parties.

 

9.4 Binding Arbitration

If the dispute remains unresolved for 60 days following the commencement of mediation, it shall be finally determined by binding arbitration under the Arbitration Act (1995) and the NCIA Arbitration Rules. The arbitral tribunal shall consist of a sole arbitrator appointed by mutual agreement, or, failing agreement within 14 days, by the Registrar of the NCIA. The seat of arbitration shall be Nairobi, Kenya, and the proceedings shall be conducted in English. The arbitral award shall be final and binding upon both parties.

 

9.5 Judicial Jurisdiction

Subject to Section 9.4, the courts of Kenya retain jurisdiction over matters arising under these Terms. Nothing in this section restricts either party from seeking urgent injunctive or protective relief from a court of competent jurisdiction in Kenya to safeguard intellectual property or proprietary technical data.

(Note: If court litigation is preferred over private arbitration for website disputes, Sections 9.3 and 9.4 may be excised prior to execution.

10. General Provisions and Contact Details

10.1 General Terms

• Entire Agreement: These Terms, together with the Privacy Policy and auxiliary legal notices published on the Website, constitute the entire agreement between you and Mara Life Sciences regarding Website usage. Product purchases remain governed by formal supply agreements.

• Severability: If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

• Waiver: No failure or delay by Mara Life Sciences in exercising any right under these Terms shall operate as a waiver of that right.

• Assignment: Mara Life Sciences may assign its rights and obligations under these Terms. You may not assign or transfer your rights without our prior written consent.

• Language: These Terms are executed in English. Any translation provided is for convenience only; the English text governs in the event of conflict.
